Terms of Service

1. Acceptance of Terms

By accessing and using MistIsland's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

MistIsland provides AI technology consulting services including but not limited to:

• AI-driven event planning consultation and implementation
• AI-powered operations optimization services
• Strategic AI implementation consulting
• Lead generation services for qualified business prospects
• Custom AI solution development and deployment

3. Lead Generation Services

3.1 Pricing and Payment

Lead generation services are priced per qualified lead as follows:

• Social Media Leads: $40 per qualified lead
• Search Engine Leads: $50 per qualified lead
• Premium Network Leads: $60 per qualified lead

3.2 Lead Qualification

All leads provided must meet the agreed-upon qualification criteria established during the initial consultation. Leads that do not meet these criteria will not be charged.

3.3 Lead Quality Guarantee

We guarantee that all delivered leads will meet the specified qualification criteria. If a lead does not meet the agreed criteria, we will provide a replacement lead at no additional cost.

4. Consulting Services

4.1 Scope of Work

All consulting engagements will be governed by a separate Statement of Work (SOW) that outlines specific deliverables, timelines, and payment terms.

4.2 Client Responsibilities

Clients are responsible for providing timely access to necessary data, systems, and personnel required for successful project completion.

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Lead generation services are billed monthly in arrears
• Consulting projects may require upfront payments or milestone-based billing
• All invoices are due within 30 days of receipt
• Late payments may incur interest charges of 1.5% per month

6. Intellectual Property

6.1 Client Data

All client data and information remain the property of the client. MistIsland will not use client data for any purpose other than providing the agreed services.

6.2 Developed Solutions

Custom AI solutions developed specifically for a client become the property of that client upon full payment. General methodologies and frameworks remain the property of MistIsland.

7. Confidentiality

MistIsland agrees to maintain the confidentiality of all client information and will not disclose such information to third parties without written consent, except as required by law.

8. Limitation of Liability

MistIsland's liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential damages.

9. Termination

Either party may terminate services with 30 days written notice. Upon termination, the client remains responsible for payment of all services rendered up to the termination date.

10. Data Protection and Privacy

MistIsland is committed to protecting client data and privacy. Our data handling practices are detailed in our Privacy Policy, which is incorporated by reference into these terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes shall be resolved in the courts of Texas.

12. Modifications

MistIsland reserves the right to modify these terms at any time. Clients will be notified of significant changes via email. Continued use of services after notification constitutes acceptance of the modified terms.
